TERMS OF SERVICE

Welcome to the Enrollment123 User Group Forum (the “Forum”). These Terms of Service (these “Terms”) govern your access to and use of the Forum provided by Enrollment123, Inc. (“Enrollment123,” “we,” “us,” or “our”). Please read these Terms carefully before using the Fo r um .


1. ACCEPTANCE OF TERMS

By accessing or using the Forum, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not access or use the Forum.

These Terms constitute a legally binding agreement between you and Enrollment123, Inc., a California corporation with its principal place of business in the United States.


2. ELIGIBILITY

The Forum is intended solely for:

(a) Current Customers and Authorized Users. You must be a current customer of Enrollment123, Inc. or an authorized user of Enrollment123’s enrollment and administration platforms, services, or software (collectively, the “Enrollment123 Services”).

(b) Business Users. The Forum is designed for business-to-business use. You represent that you are accessing the Forum in your capacity as an employee, contractor, or authorized representative of a business entity that uses the Enrollment 123 Services.

(c) Age Requirement. You must be at least 18 years of age to use the Forum.

(d) Authority. You represent and warrant that you have the authority to bind yourself (and, if applicable, the organization you represent) to these Terms.

If you do not meet these eligibility requirements, you are not authorized t o u se the Forum.


3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

To participate in the Forum, you may be required to create an account or use your existing Enrollment123 Services creden tials. You agree to:

(a) Provide accurate, current, and complete information during the registration process;

(b) Maintain and promptly update your account information to keep it accurate and current;

(c) Maintain the security and confidentiality of your a ccount credentials; and

(d) Notify us immediately of any unauthorized use of your account or an y other security breach.

3.2 Account Responsibility

You are solely responsible for all activity that occurs under your account, whether or not you authorized such activity. Enrollment123 will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 One Account Per User

You may not create multiple accounts or share your account with others. Each user must maintain t heir own individual account.


4. ACCEPTABLE USE POLICY

4.1 Permitted Uses

The Forum is provided to enable Enrollment123 customers and authorized users to:

(a) Ask questions and share answers about the Enrollment123 Services;

(b) Exchange tips, best p ractices, and configuration ideas;

(c) Discuss workflows, use cases, and implementation strategies;

(d) Share de-identified, anonymized examples and scenarios that do not contain sensit ive or confidential information; and

(e) Build a collaborative communi t y around the Enrollment123 Services.

4.2 Prohibited Conduct

You agree that you will NOT:

(a) Post Sensitive Data. Upload, post, transmit, or share any Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA), personally identifiable information (PII), Social Security numbers, financial account information, passwords, or any other highly sensitive, confidential, or proprietary data belonging to you , your organization, or any third party;

(b) Violate Laws. Use the Forum in any manner that violates any applicable federal, state, l ocal, or international law or regulation;

(c) Infringe IP Rights. Post content that infringes, misappropriates, or violates any patent, trademark, trade secret, copyright, right of publicity, or other intellectual propert y or proprietary right of any third party;

(d) Harass or Abuse. Harass, threaten, intimidate, impersonate, or abuse any person or entity, or engage in any discriminatory, defamatory, obscene, or offensive conduct;

(e) Spam or Advertise. Post unsolicited advertising, promotional materials, spam, chain letters, pyramid schemes, or any other form of unauthorized solicitation;

(f) Distribute Malware. Upload, transmit, or distribute any viruses, malware, ransomware, Trojan horses, worms, or other malicious code or harmful computer programs;

(g) Interfere with the Forum. Interfere with, disrupt, or create an undue burden on the Forum, it s servers, networks, or any connected systems;

(h) Circumvent Security. Attempt to gain unauthorized access to the Forum, other user accounts, or any computer systems or networks connected to the Forum throug h hacking, password mining, or any other means;

(i) Scrape or Harvest. Use any robot, spider, scraper, or other automated means to access the Forum or collect data from the Forum without our prior written permission;

(j) Misrepresent Affiliation. Falsely state or otherwise misrepr esent your affiliation with any person or entity;

(k) Encourage Violations. Encourage, assist, or enable any other person to do any of the foregoing prohibited activities; or

(l) Compete with Enrollment123. Use the Forum to develop, support, or promote any product or ser v ice that competes with the Enrollment1 23 Services.

4.3 Confidential Information and PHI

IMPORTANT:The Forum is a publ ic or semi-public community space. You must NOT post:

(a) Any information that is subject to confidentiality obligations under your agreement with Enrollment123 or any third party;

(b) Any Protected Health Information (PHI) or other health-related data that could identify an individual;

(c) Any personally identifiable information (PII) about employees, plan participants, or any other individuals;

(d) Any proprietary business information, trade secrets, or competitively sensitive data; or

(e) Any inform ation that you do not have the right to disclose publicly.

If you wish to share examples or scenarios, you must fully de-identify and anonymize all data, removing any information that could reasonably b e used to identify any individual, organization, or entity.

Enrollment123 reserves the right to immediately remove any content that violates this section and to suspend or terminate your access to the Forum.


5. USER CONTENT

5.1 Your Responsibility for Content

You are solely responsible for any and all content, materials, information, data, text, messages, comments, questions, answers, suggestions, ideas, feedback, files, images, or other materials that you post, upload, submit, transmit, or otherwise make a v ailable on or through the Forum ( collectively, “User Content”).

You represent and warrant that:

(a) You own or have all necessary rights, licenses, consents, and permissions to post you r User Content and to grant the licenses set forth in these Terms;

(b) Your User Content does not and will not violate these Terms, any applicable law, or any third-party rights (including intellectual property rights, privacy rights, or confidentiality obligations);

(c) Your User Content is accurate and not misleading; and

(d) Your User Content does not contain any PHI, PII, or oth e r sensitive or confidential informat ion as described in Section 4.3.

5.2 License Grant to Enrollment123

By posting User Content on the Forum, you grant to Enrollment123 a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in any medi a or format, whether now known or later developed, for the purpose s of:

(a) Operating, providing, maintaining, and improving the Forum;

(b) Promoting the Forum and the Enrollment123 Services;

(c) Developing new features, products, or services;

(d) Creating aggregated, anonymized, or statistical data; and

(e) Any other lawful business purpose.

This license continues even if you stop using the Forum or your account is terminated, except that y ou may request removal of specific User Content as described in Section 5.4.

5.3 Monitoring and Moderation

Enrollment123 has the right, but not the obligation, to:

(a) Monitor, review, and screen any User Content posted on the Forum;

(b) Moderate discussions and enforce these Terms;

(c) Remove, edit, or refuse to post any User Content that violates these Terms or that we determine, in our sole discretion, is inappropriate, offensive, harmful, or otherwise objectionable; and

(d) Investigate any reported violations and take appropriate action.

We do not pre-screen User Content,and the appearance of User Content on the Forum does not constitute an endorsement or approval by Enrollment123.

5.4 Removal Rights

While the license you grant to Enrollment123 is irrevocable, you may request that we remove specific User Content you have posted by contacting us at Support@enrollment123.com. We will make reasonable efforts to remove such content, but we cannot guarantee complete removal, particularly if the content has been quoted, shared, or incorporated in to other users’ posts or if removal would disrupt the continuity of Forum discussions.


6. INTELLECTUAL PROPERTY OWNERSHIP

6.1 Enrollment123’s IP

The Forum and the Enrollment123 Services, including all software, technology, designs, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, content, and all intellectual property rights therein (collectively, “Enrollment123 IP”), are owned by or licensed to Enrollment123, Inc. and are protected by United States and inter national copyright, trademark, patent, trade secret, and other intellectual property laws.

Except for the limited rights expressly granted to you under these Terms, Enrollment123 reserves all rights, title, and interest in and to the Enrollment123 IP. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or create derivative works based on the Enrollment123 IP without our prior written consent.

6.2 User Retention of Rights

Subject to the license you grant to Enrollment123 in Section 5.2, you retain all ownership rights in your User Content. These Terms do not transfer ownership of your User Content to Enrollment123.

6.3 Feedback and Suggestions

If you provide Enrollment123 with any feedback, suggestions, ideas, enhancement requests, recommendations, or other input regarding the Forum or the Enrollment123 Services (collectively, “Feedback”), you grant Enrollment123 a worldwide, perpetual, irrevocable, royalty-free, fully paid-up, transferable, sublicensable right and license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose without compensation or attribution to you.


7. PRIVACY

Your use of the Forum is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at https://e123in surtech.com/privacy-policy/ to understand how we collect, use, and disclose information about you.

By using the Forum, you con sent to the collection, use, and disclosure of your information as described in our Privacy Policy.

Remember:The Forum is a community space where your posts and profile information may be visi bl e to other Forum users. Do not post a ny information that you wish to keep private or confidential.


8. THIRD-PARTY LINKS AND CONTENT

The Forum may contain links to third-party websites, services, or resources that are not owned or controlled by Enrollment123. We provide these links for your convenience only.

Enrollment123 has no control over, and assumes no responsibility for, the content, privacy policies, terms of use, or practices of any third-party websites, services, or resources. You acknowledge and agree that Enrollment123 shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, goods, or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.


9. DISCLAIMERS

9.1 No Professional Advice

THE FORUM IS PROVIDED FOR INFORMATIONAL AND COMMUNITY DISCUSSION PURPOSES ONLY. CONTENT POSTED ON THE FORUM DOES NOT CONSTITUTE LEGAL, TAX , ACCOUNTING, HUMAN RESOURCES, BENEFITS ADMINISTRATION, FINANCIAL, MEDICAL, OR ANY OTHER PROFESSIONAL ADVICE.

You should not rely on any User Content or other information on the Forum as a substitute for professional advice from qualified professionals. Always seek the advice of your attorney, accountant, tax advisor, HR consultant, benefits advisor, or other qualified professional with any questions you may have regarding legal, tax, compliance, or business matters.

Enrollment123 makes no representations or warranties regar d ing the accuracy, completeness, reliability, or timeliness of any User Content or other information on the Forum.

9.3 Service Availability

THE FORUM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRIN GE MENT, OR THAT THE FORUM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Enrollment123 does not warrant that:

(a) The Forum will meet your requirements or expectations;

(b) The Forum will be available at any particular time or location, uninterrupted, secure, or error-free;

(c) Any defects or errors in the Forum will be corrected;

(d) The Forum is free of viruses or other harmful components; or

(e) The results of using the Forum will be accurate or reliable.

Your use of the Forum is at your sole risk. Enrollment123 reserves the right to modify, suspend, or discontinue the Forum (or any part thereof) at any time, with or without notice, for any reason.


10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENROLLMENT123, INC., ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS (COLLECTIVELY, THE “ENROLLMENT123 PARTIES”) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR REL ATING TO YOUR USE OF OR INABILITY TO USE THE FORUM, EVEN IF ENROLLMENT123 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE ENROLLMENT123 PARTIES TO YOU FO R ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE FORUM SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

The limitations and exclusions in this Section 10 apply regardless of the theory of liability, whether based on warranty, contract, statute, tort (including n egligence), or otherwise, and whether or not the Enrollment123 Parties have been informed of the possibility of any such damage.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations and exclusions may not a pp l y to you. In such juris dictions, the Enrollment123 Parties’ liability will be limited to the greatest extent permitted by law.


11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Enrollment123 Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees and court costs) arising out of or relating to:

(a) Your use of or inability to use the Forum;

(b) Your User Content, including any claim that your User Content infringes or violates any third-party intellectual property rights, privacy rights, or other rights, or violates any applicable law;

(c) Your violation of these Terms;

(d) Your violation of any rights of any third party; or

(e) Any unauthorized or improper use of your account, whether or not authorized by you.

Enrollment123 reserves the right, at its own expense, to assume the exclusive defense and control of any mat te r otherwise subject to indemnification by you, in which event you will cooperate with Enrollment123 in asserting any available defenses.

This indemnification obligation will survive the termination of these Terms and your use of the Forum.


12. TERMINATION AND SUSPENSION

12.1 Enrollment123’s Rights

Enrollment123 reserves the right, in its sole discretion, to:

(a) Suspend or terminate your access to the Forum, with or without notice, for any reason or no reason, including, but not limited to:

(i) Violation of these Terms;

(ii) Posting of PHI, PII, or other prohibited content;

(iii) Engaging in prohibited conduct as described in Section 4.2;

(iv) Fraudulent, abusive, or illegal activity;

(v) Termination of your Enrollment123 Services subscription or customer relationship; or

(vi) At the request of law enforcement or other government agencies.

(b) Remove or disable access to any User Content, with or with out notice, for any reason or no reason;

(c) Modify, suspend, or discontinue the Forum (or any part thereof) at anytime, with or without notice; and

(d) Refuse to provide the Forum to any person or entity for any reason or no reason.

12.2 Effect of Termination

Upon termination or suspension of your access to the Forum:

(a) Your right to access and use the Forum immediately ceases;

(b) You remain bound by Sections 5.2 (License Grant), 6 (Intellectual Property Ownership), 9 (Di s claimers), 10 (Limitation of Liability), 11 (Indemnification), 13 (Governing Law), and any other provisions that by their nature should survive termination;

(c) Enrollment123 may, but is not obligated to, delete your account and User Content; and

(d) Enrollment123 shall not be liable to you or any third party for any termination or suspension of your access to the Forum.

You may discontinue your use of the Forum at any time by ceasing to access the Forum.


13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms and any dispute or claim arising out of or relating to t h ese Terms or the Forum shall be governe d by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

13.2 Exclusive Jurisdiction and Venue

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Forum shall be brought exclusively in the federal courts located in the State of California or the state courts located in the State of California. You irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue, including any objection based on forum non conveniens.

13.3 Waiver of Jury Trial

TO THE EXTENT PERMITTED BY APPLICABLE LAW , YOU AND ENROLLMENT123 EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE FORUM.


14. CHANGES TO T HESE TERMS

Enrollment123 reserves the right to modify, amend, or update these Terms at any time, in i ts sole discretion. We will provide notice of material changes by:

(a) Posting the updated Terms on the Forum with a new “Last Updated” date at the top of these Terms;

(b) Sending an email notification to the email address associated with your account (if we have one on file); or

(c) Displaying a prominent notice on the Forum.

Your continued use of the Forum after the effective date of any changes to these Terms constitutes your acceptance of such changes. If you do not agree to the modified Terms, you must stop using the Forum.

We encourage you to review these Terms periodically to stay informed of any updates.


15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines posted on the Forum, constitute the entire agreement between you and Enrollment123 regarding the Forum and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Forum.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent, or if such modification is not possible, such provision shall be severed from these Terms.

15.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Enrollment123’s failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder, in whole or in part, without Enrollment123’s prior written consent. Any attempted assignment, transfer, o r delegation without such consent shall be null and void. Enrollment123 may freely assign, transfer, or delegate these Terms and its rights and obligations hereunder without restriction.

15.5 No Third-Party Beneficiaries

These Terms are for the benefit of, and shall be enforceable by, the parties hereto and their respective successors and permitted assigns. These Terms are not intended to confer any rights or remedies upon any person or entity other than the parties hereto and their respective successors and permitted assigns.

15.6 Force Majeure

Enrollment123 shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including, but not limited to, acts of God, natural disasters, war, ter rorism, riots , embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

15.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

15.8 Interpretation

As used in these Terms, “including” means “including but not limited to.” The words “herein,” “hereof,” and “hereunder” refer to these Terms as a whole and not to any particular section or provision.
